JAFZA Approved Auditor: Audit Report for Licence Renewal

Companies registered in the Jebel Ali Free Zone file audited financial statements prepared by an auditor on the JAFZA approved list. This is an annual compliance requirement, due within six months of the financial year end, and the submission is made through the Dubai Trade portal. The requirement

What JAFZA Requires

JAFZA requires registered companies to have their annual financial statements audited by a firm on the JAFZA approved auditor list. The auditor's standing is tested at the date the report is signed, not the date it is uploaded, so a firm that has left the list in between is a problem discovered late.

JAFZA's audit report submission guide sets the signing requirements, and they differ from the usual director sign-off. For an FZE or FZCO, the audit report must be signed by the FZE or FZCO Manager and carry the company stamp, and the summary sheet must be stamped and signed by the auditor. The statements are prepared under IFRS, and the company's legal name, legal form and registration number must match the record JAFZA holds.

Deadline

When the Audit Is Due

This is an annual compliance requirement, due within six months of the financial year end. A company with a 31 December year end therefore has until 30 June. The period runs from the year end, and the filing is tracked against the financial year rather than against the licence.

Bank confirmations are the usual constraint. They are requested from the bank directly and the bank sets its own turnaround, so they shape the critical path more often than the fieldwork does. Requesting them in the first week of the engagement is the practical way to protect the date.

Submission

How the Report Is Submitted

Submission is made through the Dubai Trade Portal, under Registration, using the service named Submit Financial Statement – Approval. The company needs Dubai Trade portal access, held by a company administrator, before the filing can be made, which is worth confirming early rather than on the day of the deadline.

Late Submission and Extensions

Late or non-submission can result in a sanction, and unresolved sanctions can cause business and service disruption. That is the practical cost: not the paperwork, but the interruption to services the company relies on while the sanction stands.

JAFZA does provide an extension route. Dubai Trade publishes an Auditor Report or Financial Statement Extension Letter process, and the request is submitted before the original due date so that automatic sanctions are not applied. A company that has already been sanctioned may still submit an extension letter to have its deadline updated.

Financial year

Financial Year Rules

A JAFZA company's financial year must be not less than six months and not more than eighteen months. Changing it is a formal step rather than an internal decision: it goes through the Dubai Trade service named Registration Amendment – Approval, and requires an Owner's Declaration or a Board Resolution. Making the change before the audit is prepared avoids a period that does not match the record.

Documents to Prepare

Assembling the set before fieldwork rather than during it is what most shortens a JAFZA audit. Expect: the trade licence and any amendments; the memorandum and articles and the share register; the trial balance and general ledger for the year; bank statements for every account for the full period with the closing confirmations; the fixed asset register with additions and disposals; receivables and payables ageing; inventory counts where inventory is held; payroll summaries and end of service provision workings; the lease for the premises; loan and related party agreements; and the resolution approving the accounts.
